Agreement to Terms

These Terms and Conditions ("Terms") govern your use of the ALC People Solutions website (alcpeoplesolutions.com) and the services we provide. By accessing or using the site, you agree to be bound by these Terms. If you disagree with any part of the Terms, then you may not access the site or use our services.

Use of the Site

Eligibility

You must be at least 18 years of age to use this site. By using this site and agreeing to these Terms, you represent and warrant that you are at least 18 years of age.

License

We grant you a limited, non-exclusive, non-transferable, and revocable license to use the site for personal or internal business purposes. You may not:

•Modify or copy the materials

•Use the materials for any commercial purpose or for any public display

•Attempt to reverse engineer any software contained on the site

•Remove any copyright or other proprietary notations from the materials

•Transfer the materials to another person or "mirror" the materials on any other server

This license shall automatically terminate if you violate any of these restrictions and may be terminated by ALC People Solutions at any time.

Services

ALC People Solutions provides leadership development, Myers-Briggs (MBTI) training, 360 feedback assessments, and organizational consulting services.

Service Agreements

All services are provided pursuant to a separate service agreement or proposal. The terms of any service agreement or proposal will govern in the event of a conflict with these Terms.

Scheduling and Cancellation

Discovery calls and consultations may be scheduled through our website. If you need to cancel or reschedule an appointment, please provide at least 24 hours' notice. Failure to provide adequate notice may result in a cancellation fee.

Payment

Payment terms will be outlined in your service agreement or proposal. Payment is due as specified in the agreement. Late payments may be subject to interest charges or suspension of services.

Intellectual Property

The site and its original content, features, and functionality are and will remain the exclusive property of ALC People Solutions and its licensors. The site is protected by copyright, trademark, and other laws of both the United States and foreign countries.

You may not use our trademarks, service marks, or logos without our prior written consent.

User Content

If you submit any content to the site (such as through contact forms, comments, or testimonials), you grant ALC People Solutions a non-exclusive, royalty-free, perpetual, and worldwide license to use, reproduce, modify, adapt, publish, and display such content for the purpose of providing and promoting our services.

You represent and warrant that:

•You own or have the necessary rights to submit the content

•The content does not violate any third-party rights

•The content does not contain any defamatory, obscene, or otherwise unlawful material

Confidentiality

ALC People Solutions is committed to maintaining the confidentiality of client information. All information shared during consultations, assessments, and training sessions is confidential and will not be disclosed to third parties without your consent, except as required by law.

MBTI and 360 Feedback Confidentiality

All MBTI assessment results and 360 feedback reports are confidential and belong to the individual participant. Results will not be shared with employers or third parties without the participant's explicit written consent.

Disclaimer of Warranties

The site and services are provided on an "as is" and "as available" basis. ALC People Solutions makes no representations or warranties of any kind, express or implied, as to the operation of the site or the information, content, or materials included on the site.

To the full extent permissible by applicable law, ALC People Solutions disclaims all warranties, express or implied, including, but not limited to, implied warranties of merchantability and fitness for a particular purpose.

Limitation of Liability

In no event shall ALC People Solutions, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

•Your access to or use of or inability to access or use the site or services

•Any conduct or content of any third party on the site

•Any content obtained from the site

•Unauthorized access, use, or alteration of your transmissions or content

Indemnification

You agree to defend, indemnify, and hold harmless ALC People Solutions and its licensors and licensees, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of:

•Your use and access of the site or services

•Your violation of any term of these Terms

•Your violation of any third-party right, including without limitation any copyright, property, or privacy right

Governing Law

These Terms shall be governed and construed in accordance with the laws of the United States and the state in which ALC People Solutions operates, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our site after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the site and services.
